Terms & Conditions

These Terms of Service (“Terms”) govern access to and use of The Marbella Directory platform, website, and related services (the “Platform”). By submitting an application, purchasing a subscription, or using the Platform in any way, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use or access the Platform.

1. Company Information

The Marbella Directory is operated by OPTIMYZATION LLC, a limited liability company registered in the State of Wyoming, United States, operating under the brand name The Marbella Directory (“we”, “us”, “our”).

Services are provided digitally. We do not represent that we maintain offices, staff, or a permanent establishment in any specific jurisdiction outside the United States.

2. Eligibility and Business Definition

The Platform is intended for business use only.

For the purposes of these Terms, a “Business” may be:

  • A registered company or legal entity, or

  • A sole trader, self-employed individual, or independent professional

provided that the Business:

  • Is actively operating,

  • Has a genuine commercial presence,

  • Maintains an online presence, and

  • Can be reasonably verified through public information, reviews, or documentation.

We reserve the right to accept or reject any application at our sole discretion.

3. Curated Platform & Editorial Control

The Marbella Directory is a curated directory. Inclusion is not automatic.

We reserve full editorial discretion to:

  • Approve or reject applications,

  • Edit, format, shorten, or reorganise listing content,

  • Determine listing placement, visibility, and exposure,

  • Feature or not feature any listing across the Platform or marketing channels.

No exclusivity is granted unless explicitly agreed in writing.

4. Subscriptions, Pricing & Minimum Terms

All listings are sold on a subscription basis.

Unless otherwise stated:

  • A minimum subscription period applies,

  • Subscription fees are billed in advance,

  • Subscriptions automatically renew at the end of each billing cycle.

It is the subscriber’s responsibility to manage cancellations prior to renewal.

5. No Refund Policy

All payments are non-refundable.

This includes, without limitation:

  • Early cancellation,

  • Lack of usage,

  • Dissatisfaction with results,

  • Suspension or removal due to breach of these Terms.

No refunds or credits are provided for partially used periods.

6. No Guarantee of Results

We do not guarantee:

  • Leads,

  • Enquiries,

  • Sales,

  • Revenue,

  • Search engine rankings,

  • Advertising performance,

  • Return on investment.

The Platform provides exposure, visibility, and promotional placement only. Outcomes depend on numerous factors outside our control.

7. Quality Standards, Reviews & Removal Rights

To protect the integrity and trust of the Platform, we reserve the right, at our sole discretion, to:

  • Suspend or remove listings,

  • Reduce visibility or placement,

  • Decline renewal,

if a Business:

  • Fails to maintain acceptable quality standards,

  • Receives sustained or serious negative feedback,

  • Engages in misleading, unethical, or harmful conduct,

  • Damages the reputation or trust of the Platform.

Removal or suspension does not entitle the subscriber to a refund.

8. Content Ownership & Usage Rights

By submitting any content to the Platform, including but not limited to:

  • Text,

  • Images,

  • Videos,

  • Logos,

  • Reviews,

  • Social media or Google Business content,

you grant us a non-exclusive, royalty-free, worldwide licence to:

  • Display the content on your listing,

  • Use the content for promotional and marketing purposes,

  • Feature the content across our website, social media, advertising, and press materials.

You confirm that you have the legal right to use and submit all content provided, including third-party images or customer-generated content. We are not responsible for any infringement arising from content you submit.

9. Approval Prior to Publication

All listings are reviewed prior to publication.

Approval does not imply endorsement, partnership, or representation. We may request changes or additional information before a listing goes live.

10. Taxes

Prices are exclusive of any applicable taxes unless stated otherwise.

You are solely responsible for determining and complying with any tax obligations arising from your subscription, including VAT or similar taxes in your jurisdiction.

11. Independent Relationship

Nothing in these Terms creates any partnership, agency, employment, or joint venture relationship between you and us.

You may not represent yourself as acting on our behalf.

12. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for:

  • Indirect or consequential losses,

  • Loss of revenue, profits, data, or business opportunities,

  • Claims arising from third-party actions or content.

Our total liability shall not exceed the amount paid by you in the preceding subscription period.

13. Termination

We may terminate or suspend access to the Platform immediately if you breach these Terms.

Termination does not affect outstanding payment obligations and does not entitle you to a refund.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Wyoming.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
